• All services require advance payment unless otherwise agreed

• Payments are non-refundable once services commence

• Delayed payments may result in pause or termination of services

• Any additional services outside the agreed scope will be charged separately

🟧 3. Lead Generation Disclaimer

Vendii agrees to deliver the agreed number of leads within the selected timeframe.

However:

• We do not guarantee conversions or sales outcomes

• Lead performance depends on client follow-up, pricing, and service quality

• We are not responsible for missed opportunities due to delayed response

🟧 4. Qualified Leads & Funded Profiles

• Leads are generated based on targeting and filtering processes

• “Qualified leads” are based on interest and relevance, not guaranteed conversions

• Where applicable, we aim to provide NDIS-funded profiles, but availability depends on market conditions

🟧 5. Client Responsibilities

The client agrees to:

• Provide accurate business information

• Respond to leads in a timely manner

• Maintain professional conduct with participants

• Comply with all applicable NDIS and advertising regulations

Vendii is not liable for outcomes affected by client actions or inactions.

🟧 6. Campaign Performance

• Marketing results may vary based on market demand, competition, and platform algorithms

• Vendii does not guarantee specific metrics such as ROI, reach, or conversion rates

• We focus on optimisation and continuous improvement, not fixed outcomes

🟧 7. Advertising Platforms

Vendii is not responsible for:

• Changes in policies by platforms (Facebook, Instagram, Google, etc.)

• Ad account restrictions, suspensions, or disapprovals

• Cost fluctuations in advertising

🟧 8. Intellectual Property

• All creatives, content, and strategies remain the property of Vendii until full payment is received

• Upon full payment, clients are granted usage rights unless otherwise specified

🟧 9. Confidentiality

Both parties agree to maintain confidentiality of:

• Business strategies

• Client data

• Campaign information

🟧 10. Cancellation & Termination

• Once services have commenced, no refunds will be issued

• Vendii reserves the right to terminate services if:

  • Terms are violated

  • Payments are not made

  • Misuse or unethical practices are observed

Vendii shall not be liable for:

• Indirect or consequential losses

• Loss of revenue, clients, or business opportunities

• Decisions made by leads or third parties

Vendii is not responsible for delays or failure due to events beyond control, including:

• Platform outages

• Regulatory changes

• External disruptions
